Welcome to Boxamemory. These Terms of Service ("Terms") govern your access to and use of the Boxamemory website (boxamemory.com), including any purchase of our flagship product, Mémoir, and any related personalization or concierge services (collectively, the "Services").

By accessing our website, placing an order, or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our website or purchase our products.

1. About Boxamemory

Boxamemory is a direct-to-consumer brand offering Mémoir, a premium ring presentation box featuring a built-in digital screen, speaker, LED lighting, and rechargeable battery, designed to play personalized photos, videos, and music when opened.

2. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to place an order with Boxamemory. By placing an order, you represent that you meet this requirement and that any information you provide us is accurate and complete.

3. Products & Product Descriptions

3.1 Mémoir Specifications. Mémoir is designed to hold a ring with a band width of up to 4mm. Rings with wider bands may not fit securely in the ring holder. It is the customer's responsibility to confirm their ring's band width prior to purchase. We are not responsible for fit issues arising from rings that exceed this specification, though we're always happy to help you figure out compatibility before you order — reach out to us at support@boxamemory.com. Fit issues discovered before your media has been loaded onto the device are eligible for return under Section 7.1. Once your device has been personalized with your submitted media, fit issues are not grounds for return unless the device is otherwise defective — please confirm your ring's fit before submitting your media.

3.2 Media Upload & Software. Mémoir's media (photos, videos, music) is loaded via USB-C using our proprietary upload software, which is currently compatible with Windows devices. Customers using Mac devices, or who prefer not to handle the upload themselves, may send their media files to our team, and we will preload the device at no additional charge prior to shipment. Before sending us any media, please retain your own backup copies. See Section 4.4 and Section 11 regarding file retention and our liability for lost or corrupted media.

3.3 Product Appearance & Accuracy. We make reasonable efforts to display our products, including colors, finishes, and screen imagery, as accurately as possible. However, actual appearance may vary slightly due to lighting, photography, and individual display settings. We reserve the right to make minor changes to product design, packaging, or included accessories without prior notice.

3.4 Battery & Electronics. Mémoir contains a rechargeable lithium battery and electronic components. See Section 8 (Battery & Electronics Safety) for additional details.

4. Personalization & Customer-Submitted Content

4.1 Ownership & Rights. When you submit photos, videos, music, or other media to us (whether for self-upload guidance or for our Premium Concierge Service), you represent and warrant that:

• You own the rights to the content, or have obtained all necessary permissions to use and share it;
• The content does not infringe on any third party's intellectual property, privacy, or other rights;
• The content does not contain unlawful, obscene, or harmful material.

You agree to indemnify, defend, and hold harmless Boxamemory, its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to a breach of the warranties in this Section 4.1, including any third-party claims that your submitted content infringes their rights.

4.2 Use of Submitted Content. We use the media you submit solely to fulfill your order (i.e., preloading it onto your Mémoir device). We do not use customer-submitted personal media (photos, videos, personal messages) for marketing or any other purpose without your separate, explicit consent.

4.3 Music Selection. If you request that licensed or copyrighted music be included in your personalized media, you are responsible for ensuring your use complies with applicable copyright law. Boxamemory does not provide licensed music and is not responsible for any copyright claims arising from music you choose to include.

4.4 File Retention & Deletion. We retain customer-submitted media only as long as necessary to fulfill your order and provide support related to that order, after which it is deleted from our systems. If you request that we retain your media beyond order fulfillment, we will do so for no longer than twelve (12) months from your request, after which it will be automatically deleted unless you renew your request. We apply reasonable administrative and technical safeguards to protect submitted media, but see Section 11 for the limits of our liability regarding loss of media.

4.5 Premium Concierge Service. Our Premium Concierge Service refers to our optional, fee-based service in which our team handles media selection, editing, or curation assistance beyond standard preloading. Pricing, scope, and turnaround times for the Premium Concierge Service are provided separately at the time of purchase and are incorporated into these Terms by reference.

5. Orders, Payment & Cancellation

5.1 Order Acceptance. All orders are subject to acceptance and availability. We reserve the right to refuse or cancel any order at our discretion, including in cases of suspected fraud, pricing errors, or inventory issues. If we cancel an order after payment has been processed, you will receive a full refund.

5.2 Pricing. All prices are listed in USD and are subject to change without notice. The price charged will be the price displayed at the time your order is placed.

5.3 Payment. Payment is processed securely through our third-party payment processors at the time of order. By providing payment information, you represent that you are authorized to use the payment method provided.

5.4 Customer Cancellation. You may cancel your order for a full refund at any time before your submitted media has been loaded onto your device or your order has entered production, whichever occurs first. To request cancellation, contact support@boxamemory.com with your order number. Once personalization or production has begun, orders are subject to the return restrictions in Section 7.3.

6. Shipping & Delivery

6.1 Shipping. We currently ship Mémoir only within the United States. Shipping is free on all orders. Estimated delivery timeframes are provided at checkout and are not guaranteed; delays may occur due to carrier issues or other factors outside our control.

6.2 Lithium Battery Compliance. Because Mémoir contains a rechargeable lithium battery, shipments are subject to applicable carrier and regulatory requirements for battery-containing goods. This may affect available shipping methods for certain orders or destinations within the United States.

6.3 Risk of Loss. Risk of loss and title for products pass to you upon our delivery to the shipping carrier, unless otherwise required by applicable law.

7. Returns, Refunds & Damages

7.1 Return Window. You may request a return within 30 days of delivery. To be eligible, the item must be unused, in its original condition, and in its original packaging, unless the item arrived damaged or defective. Return shipping costs are the customer's responsibility, except where the return is due to a Boxamemory error, damage in transit, or a manufacturing defect under Section 7.2.

7.2 Damaged or Defective Items. If your Mémoir arrives damaged or with a manufacturing defect, please contact us at support@boxamemory.com within 7 days of delivery with photos of the issue. We will work with you on a repair, replacement, or partial/full refund, evaluated case by case, and we will cover return shipping costs for items confirmed damaged or defective under this section. Beyond this 7-day window, we do not offer a separate limited warranty on the device; any later issues will be evaluated on a case-by-case basis at our discretion.

7.3 Non-Returnable Circumstances. IMPORTANT: Because Mémoir is a personalized product once media has been loaded, orders that have already been customized with customer-submitted media are not eligible for return or refund unless the item is defective or damaged. Please confirm your ring's fit (Section 3.1) and finalize your media selections carefully before submission, as this restriction applies once personalization begins.

7.4 Refund Processing. Approved refunds will be issued to your original payment method within 7-14 business days of approval.

7.5 How to Initiate a Return. Contact us at support@boxamemory.com with your order number and reason for return, and we'll guide you through next steps.

8. Battery & Electronics Safety

• Charge Mémoir only using the provided USB-C cable or a compatible replacement.
• Avoid exposing the device to water, excessive heat, or physical impact.
• Do not attempt to disassemble, modify, or repair the internal electronics or battery yourself, as this may create a safety hazard and will void any applicable remedy under Section 7.2.
• If you notice swelling, unusual heat, smoke, or odor from the device, discontinue use immediately and contact us.

9. Intellectual Property

All content on the Boxamemory website, including but not limited to text, graphics, logos, product photography, and design elements, is the property of Boxamemory or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without prior written permission.

10. User Conduct

When using our website or Services, you agree not to:

• Submit false, misleading, or fraudulent information;
• Upload content that is unlawful, defamatory, obscene, or infringes on others' rights;
• Attempt to interfere with the security or functionality of our website;
• Use our Services for any unlawful purpose.

We reserve the right to refuse service to anyone who violates these Terms.

11. Limitation of Liability

To the fullest extent permitted by law, Boxamemory shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our website or products, including but not limited to loss of data, loss of media content, or emotional distress, even if we have been advised of the possibility of such damages.

We strongly encourage you to retain your own backup copies of any photos, videos, or music before submitting them to us for upload or concierge services. While we apply reasonable safeguards to protect submitted media, we are not liable for loss, corruption, or unauthorized access to media content to the extent permitted by law.

Our total liability to you for any claim arising from your purchase shall not exceed the amount you paid for the applicable product.

Nothing in these Terms limits liability that cannot be excluded or limited under applicable law.

12. Warranty Disclaimer

Except for the remedies expressly provided in Section 7.2 (Damaged or Defective Items), our products are provided "as is" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Boxamemory does not offer a separate limited warranty beyond the remedies described in Section 7.2. Nothing in this section limits any warranty rights you may have that cannot be excluded or limited under applicable law.

13. Privacy

Your use of our website and Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information, including any media you submit for personalization. 14. Electronic Communications

By using our Services, you consent to receive communications from us electronically, including emails and notices posted on our website. You agree that all agreements, notices, and disclosures we provide electronically satisfy any legal requirement that such communications be in writing.

15. Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices or for legal, operational, or regulatory reasons. The updated Terms will be posted on this page with a revised "Last Updated" date. Continued use of our website after changes are posted constitutes acceptance of the updated Terms.

16. Governing Law & Disputes

These Terms are governed by the laws of Texas, without regard to conflict of law principles. Any disputes arising from these Terms or your use of our Services shall be resolved in the state or federal courts located in Collin County, Texas, and you consent to the personal jurisdiction of those courts.

17. Miscellaneous

17.1 Entire Agreement. These Terms, together with our Privacy Policy and any order-specific terms (such as Premium Concierge Service pricing), constitute the entire agreement between you and Boxamemory regarding your use of our Services and supersede any prior agreements.

17.2 Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

17.3 No Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

17.4 Force Majeure. We are not liable for any delay or failure to perform resulting from causes outside our reasonable control, including natural disasters, labor disputes, carrier delays, or supply chain disruptions.

17.5 Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction in connection with a merger, acquisition, or sale of assets.
